By accessing or using Scalely ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service. These Terms apply to all visitors, users, and others who access or use the Service.

Scalely is an AI-powered digital growth platform that provides:

• AI-generated marketing strategy reports
• Advertising platform and copy recommendations
• Website and e-commerce strategy guidance
• Optional managed marketing and website services

Our AI reports are generated using artificial intelligence and are intended as strategic guidance only. Results may vary and are not guaranteed.

Account Creation:

You must create an account to access certain features. You agree to provide accurate, complete, and current information and to update your information to keep it accurate.

Account Security:

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use at HiScalely@outlook.com

Account Termination:

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms or engage in fraudulent or harmful activity.

Report Fee:

The one-time $6 AI report fee is non-refundable once the report has been generated and delivered to you.

Subscription Services:

Monthly subscription plans ($199/mo ads management, $40/mo website, $60/mo e-commerce) are billed monthly in advance. You may cancel at any time and your service will continue until the end of the current billing period.

Refund Policy:

• AI Reports ($6): Non-refundable once generated
• Subscriptions: No partial refunds for unused portions of a billing period. Cancel anytime to stop future charges.
• If you believe you were charged in error, contact us within 7 days at HiScalely@outlook.com

Payment Processing:

All payments are processed securely by Lemon Squeezy. We do not store your full credit card information on our servers.

Our platform uses artificial intelligence to generate marketing strategy reports. You acknowledge and agree that:

• AI reports are provided for informational and strategic guidance purposes only
• Results from implementing AI recommendations are not guaranteed
• We are not responsible for marketing outcomes based on AI-generated advice
• AI recommendations should be reviewed and adapted to your specific business needs
• Report content may not be resold or distributed commercially

For customers who hire Scalely to manage ads or build websites:

Ads Management:

• We will use reasonable efforts to optimize your advertising campaigns
• Advertising spend (paid to platforms like Facebook, Google) is separate from our management fee
• Results are not guaranteed as ad performance depends on many factors outside our control
• 30 days notice required to cancel managed services

Website & E-commerce Subscriptions:

• Your website will be designed and hosted by us for the duration of your subscription
• You retain ownership of your content and brand assets
• Upon cancellation, we will provide you with your content in an exportable format within 14 days
• We reserve the right to take down websites with illegal or harmful content

You agree not to use Scalely to:

• Violate any applicable laws or regulations
• Promote illegal products or services
• Upload malicious code or attempt to hack our systems
• Impersonate any person or entity
• Spam or harass other users
• Infringe on any intellectual property rights
• Submit false or misleading information
• Use our AI tools to generate harmful or deceptive content

We reserve the right to remove content and suspend accounts that violate these terms.

Our Content:

The Scalely name, logo, website design, and proprietary technology are owned by Scalely and protected by intellectual property laws. You may not copy, reproduce, or distribute our content without permission.

Your Content:

You retain ownership of the business information and content you submit to our platform. By submitting content, you grant us a limited license to use it to provide our services to you.

AI Report Ownership:

Once you have paid for and received your AI report, you own the report content and may use it for your own business purposes.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCALELY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Scalely and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.

Before filing a claim, you agree to attempt to resolve any dispute informally by contacting us at HiScalely@outlook.com. We will attempt to resolve the dispute within 30 days.

For unresolved disputes, both parties agree to binding arbitration under the American Arbitration Association rules rather than a jury trial, except for claims that qualify for small claims court.

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by email or prominent notice on our website. Your continued use of the Service after changes constitutes acceptance of the new Terms.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Scalely regarding the Service.
